Introduction

Welcome to Boon Technologies. By accessing or using our website, services, or applications (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). These Terms apply to all visitors, users, and others who access or use the Services, including all SaaS products offered by Boon Technologies such as Bankify, ClearBooks, Magaba, and Rentify.

Please read these Terms carefully before using our Services. If you disagree with any part of these Terms, you may not access or use our Services.

1. Acceptance of Terms

By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you are using our Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Services

Boon Technologies provides various software services, including custom software development and SaaS products. The specific features and functionality of each Service are described on the respective product pages or in separate service agreements.

3. User Registration and Accounts

Some of our Services require registration or account creation. When you register, you agree to provide accurate and complete information and to keep this information current. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

We reserve the right to suspend or terminate accounts that violate these Terms or for any other reason at our discretion.

4. Subscription and Payment Terms

Some of our Services are offered on a subscription basis. By subscribing to a Service, you agree to pay the applicable fees as described on the respective product page or service agreement. All payments are non-refundable unless otherwise specified or required by law.

We may change our fees at any time with reasonable notice. Continued use of the Services after fee changes constitutes acceptance of the new fees.

5. User Content

Our Services may allow you to upload, submit, store, send, or receive content ("User Content"). You retain ownership of any intellectual property rights that you hold in that User Content.

By uploading User Content, you grant Boon Technologies a worldwide, royalty-free license to use, host, store, reproduce, modify, create derivative works, communicate, publish, publicly display and distribute such User Content solely for the purpose of providing and improving our Services.

6. Prohibited Uses

You agree not to use our Services:

In any way that violates any applicable law or regulation
To transmit or send unsolicited commercial communications
To attempt to gain unauthorized access to our servers, systems, or networks
To interfere with or disrupt the integrity or performance of our Services
To harass, abuse, or harm another person or entity
To submit false or misleading information

7. Intellectual Property

The Services and their original content, features, and functionality are and will remain the exclusive property of Boon Technologies and its licensors. The Services are protected by copyright, trademark, and other laws of both the United States and foreign countries.

Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Boon Technologies.

8. Termination

We may terminate or suspend your access to our Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

Upon termination, your right to use the Services will immediately cease. All provisions of the Terms that by their nature should survive termination shall survive, including without limitation ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

9. Disclaimer of Warranties

Our Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not guarantee that the Services will be uninterrupted, secure, or error-free, or that defects will be corrected.

10. Limitation of Liability

To the maximum extent permitted by law, Boon Technologies shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

Your use or inability to use the Services
Any unauthorized access to or use of our servers and/or any personal information stored therein
Any interruption or cessation of transmission to or from the Services
Any bugs, viruses, or the like that may be transmitted to or through our Services

11. Indemnification

You agree to defend, indemnify, and hold harmless Boon Technologies and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including without limitation reasonable attorney's fees, arising out of or in any way connected with your use of our Services or violation of these Terms.

12. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Services after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Services.

13. Governing Law

These Terms shall be governed and construed in accordance with the laws of the Zimbabwe, without regard to its conflict of law provisions.
